1. Acceptance of Terms

Welcome to GATHER, operated by Gather Cook Corp. ("Company," "we," "us," or "our"). By accessing or using our website at gathercook.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

GATHER is a social recipe platform that enables users to:

• Discover, create, and share recipes
• Plan meals and generate shopping lists
• Import recipes from YouTube videos using AI-powered extraction
• Engage with a community of home cooks and food creators
• Access premium features through paid subscription plans

3. User Accounts

3.1 Account Registration

To access certain features of this Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized account use

3.2 Account Types

We offer three account types:

• Free: Limited recipe creation (up to 3) and saves (up to 20)
• Paid ($4.99/month or $47.90/year): Unlimited recipes and saves, family sharing, priority support
• Chef ($9.99/month or $95.90/year): All Paid features plus branded profile, video uploads, affiliate integration, and analytics

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for any reason at our sole discretion.

4. Subscription and Billing

4.1 Payment

Paid subscriptions are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or yearly) until you cancel.

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You will be charged at the then-current rate.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial subscription periods, except as required by law.

4.4 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

5. User Content

5.1 Your Content

You retain ownership of all content you create or upload to the Service, including recipes, images, videos, and comments ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your User Content in connection with operating and promoting the Service.

5.2 Content Standards

You agree that your User Content will not:

• Violate any laws or regulations
• Infringe upon intellectual property rights of others
• Contain harmful, threatening, abusive, or hateful material
• Include spam, malware, or deceptive content
• Impersonate any person or entity
• Contain private information of others without consent

5.3 Content Moderation

We reserve the right to review, remove, or refuse to publish any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

5.4 Video Imports

When importing recipes from YouTube or other platforms, you represent that you have the right to use that content or are using it for personal, non-commercial purposes consistent with fair use principles. We use AI to extract recipe information from video metadata and transcripts.

6. Affiliate Links

Chef account holders may include affiliate links (Amazon, Walmart, Target) in their recipes. Users are responsible for:

• Complying with affiliate program terms and conditions
• Disclosing affiliate relationships as required by law
• Ensuring accuracy of product links and descriptions

We are not responsible for transactions between users and third-party merchants linked through affiliate programs.

7. Intellectual Property

7.1 Our Property

The Service, including its design, features, code, and content (excluding User Content), is owned by Gather Cook Corp. and protected by copyright, trademark, and other intellectual property laws. "GATHER" and associated logos are trademarks of Gather Cook Corp.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

8. AI and Technology

Our Service uses Google Gemini AI to:

• Transcribe audio from cooking videos
• Extract structured recipe information from video content
• Normalize ingredient names for shopping lists

AI-generated content may contain errors or inaccuracies. Users are responsible for reviewing and verifying AI-extracted information before use. We do not guarantee the accuracy, completeness, or safety of AI-generated recipes.

9. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without permission
• Collect user information without consent
• Reverse engineer or decompile any part of the Service
• Remove or modify copyright notices or trademarks
• Create derivative works based on the Service

10. Disclaimers

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Recipe Safety

WE DO NOT GUARANTEE THE SAFETY, ACCURACY, OR SUITABILITY OF ANY RECIPES ON THE SERVICE. Users are responsible for verifying recipe information, following food safety guidelines, and considering dietary restrictions and allergies. USE RECIPES AT YOUR OWN RISK.

10.3 Third-Party Content

We are not responsible for content imported from third-party platforms (YouTube, etc.) or linked through affiliate programs.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATHER COOK CORP., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or personal information
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or malicious code transmitted through the Service
• Any errors or omissions in content, or loss resulting from use of content
• Use of any recipes or content, including but not limited to food safety issues

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Gather Cook Corp. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify. You waive any right to a jury trial.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and not as part of a class action, consolidated action, or representative action.

14. General Provisions

14.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gather Cook Corp. regarding the Service.

14.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
